Introduction

Before signing up on the Tika website, you should carefully read, understand, and accept the Terms of Use, which govern your use of and access to our Services.

For the avoidance of doubt, the Platform and all Services provided thereon are owned and operated by Tika, a product of Ninthgrid Technology Limited (Ninthgrid or Tika), a company duly incorporated under the laws of the Federal Republic of Nigeria.

Any reference in these Terms to “the Company,” “we,” “us,” or “our” shall be construed as a reference to Tika/Ninthgrid, and any inconsistent naming shall not affect the interpretation or enforceability of these Terms.

Please note that your use of and access to the Services are subject to the following terms; if you do not agree to all these terms, you may not use or access the Services in any manner.

The Terms of Use contain the terms governing your use of and access to the Tika website and all affiliated websites owned and operated by us (collectively, the "Platform") and our Services.  "You" and "your" mean the person who uses or accesses the Services.

Who We Are

Tika, a product of Ninthgrid Technology Limited, is an event management and growth platform designed to help Organizers and Consumers connect and thrive through unforgettable live experiences. Our services enable Organizers to create, publish, and manage both online and in-person events, sell tickets, and stay engaged with Consumers using a robust suite of marketing and engagement tools. Tika operates under Ninthgrid Technology Limited, which is duly registered under the laws of the Federal Republic of Nigeria with company registration number RC 1969736 and has our registered office address at No. 3, Van Daniel, Orchid Road, Lekki, Lagos, Nigeria.

Tika operates solely as a technology platform that facilitates event discovery, ticket listing, registration, and payment processing between Event Organisers and Participants. Tika does not organise, host, manage, control, or deliver any event listed on the Platform and shall not be deemed to be a party to any agreement between an Event Organiser and a Participant.

We may revise the Platform Terms of Use at any time by updating this document. You should check the Platform from time to time to review the existing Terms of Use, as they are binding on you.

In this Term of Use, save where the context otherwise requires, references to an individual or individuals shall include his/her or their respective personal representatives.

The following words and expressions in these Terms of Use (save where the context requires otherwise) bear the following meanings:

• "Event Organiser" means the venue operator(s) and/or promoter(s) of a particular event;
• "Services" means all products and services collectively offered by Tika;
• "User" refers to any person who makes use of the Platform provided by Tika; and
• "User Profile" refers to the User's profile created by the User on the Platform.

Purpose, Acceptance and Use

These Terms of Use and any other agreements between you and Tika constitute a binding contract between you and Tika, and set out the Terms of Use on which you may use the Platform. The Terms of Use and any amendments or variations thereto shall take effect on their date of publication or on such other date as may be expressly communicated to you, whichever is earlier.

The Platform is intended solely for individuals who are 18 years old or older. Any access to or use of the Platform by anyone under 18 years is unauthorized, unlicensed, and in violation of these Terms of Use. By accessing or using the Platform, you represent and warrant that you are 18 years old or older.

These Terms of Use govern your use of all products, services, content, and information provided by Tika in respect of the Platform. By downloading, registering, accessing, and/or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use. If you do not agree with these Terms of Use, you must not use or access the Platform. Using our platform constitutes your acceptance of these Terms of Use and our Privacy Policy and governs your access and usage of the Platform.

By signing up to use the Platform, you agree to comply with and be bound by the Terms of Use governing the operations of the Platform.

Use of the Tika Platform

Your use of the Platform is governed by the version of the Terms of Use in effect on the date that you use or access the Platform. We reserve the right to amend, change, vary, or alter the Terms of Use at any time with or without notice to you. If you access or use the Platform after the amended Terms of Use have been published, you will be deemed to have agreed to the Terms of Use as amended, changed, varied, or altered.

You acknowledge and accept that Tika offers the Platform only electronically. Any query and complaint you may have relating to the Platform shall be addressed to Tika through the designated customer service email channel.

Submission of Event Content

Event Organisers may upload or submit event-related materials, including, but not limited to, event titles, descriptions, images, videos, logos, branding materials, schedules, pricing information, and promotional content ("Event Content").

Ownership of Event Content

Ownership of Event Content shall remain with the Event Organiser or its licensors. Nothing in these Terms shall be construed as transferring ownership of such content to Tika.

Licence to Use Event Content

By submitting Event Content to the Platform, the Event Organiser grants Tika a worldwide, royalty-free, non-exclusive, sublicensable, and transferable licence to host, store, reproduce, adapt, modify, publish, display, distribute, and otherwise use such Event Content for the purposes of:

• operating and administering the Platform;
• promoting the event and the Platform (including marketing, advertising, and publicity);
• providing services to users; and
• complying with legal, regulatory, or contractual obligations.

Post-Termination Use

The licence granted under this clause shall survive the termination or completion of the relevant event solely to the extent required for record-keeping, legal compliance, dispute resolution, and archival purposes.

Access to Tika Platform

We provide the Services electronically and allow registration for an account to access the Platform for the purpose of selling and managing tickets for events and other products. You may register for a User Profile only if you are the event organizer or an authorized ticket seller, having obtained the express written permission of the event organizer, selling tickets for and on behalf of an event organizer ("Event Organiser"). We provide the Services to the Event Organiser and have no relationship between the Event Organiser and its customers ("Event Attendee"). Any tickets sold through Tika do not create a contractual relationship between us and the Event Attendee; it is the responsibility of the Event Organiser to provide any terms of sale of the tickets to the Event Attendee. We will direct any queries or questions raised by Event Attendees to you. You agree:

• To respond to any queries you receive from Event Attendees within 3 days;
• To handle all communication with your Event Attendee and not to refer them to us for customer support;
• To accept all liability in relation to the contractual relationship between you and the Event Attendee;
• To notify your Event Attendees immediately and update your Tika event page if your event is cancelled, postponed, or has a material change from the original information given when the event was first put on sale.

We retain the right to suspend or terminate your access to the Services if you fail to adhere to these contractual requirements with your Event Attendees.

When using the Platform, you shall:

• Comply with applicable laws and obligations related to your provision of events, products, or services to Event Attendees, or receipt of booking fees, transaction fees, or charitable donations;
• Provide us with such information and material as we may reasonably require to supply the Services and ensure that such information is accurate;
• Maintain and promptly update all information and material as may be required by us in order to supply the Services to keep it true, accurate, and complete; and
• Cooperate with us in all matters relating to the Services.

To enable you to create a User Profile on the Platform, we require your name (or, in the event of a body corporate, registered business name/company), your phone number, and your email address ("Personal Information"). You agree that you will provide true, accurate, current, and complete registration information about yourself. You hereby authorize us to verify your Personal Information from independent sources that may be available to us. You shall promptly update your Personal Information via the Platform in the event of any change or modification to your Personal Information.

In order to access the Platform, you will be required to register and create a User Profile. When you register, the email address provided to us will serve as your username, and you will be required to create a password, which you will need to use to access your User Profile. Tika has physical, electronic, and procedural safeguards that comply with regulatory standards to guard users' non-public personal information. You shall be solely responsible for maintaining the confidentiality of your profile and password. While Tika shall take all reasonable steps to protect your Personal Information, you hereby accept responsibility for any breach, unlawful access, use, compromise, or manipulation of your Personal Information caused by your conduct, inaction, carelessness, inadvertence, or negligence. You are to notify us immediately if you become aware of any disclosure, loss, theft, or unauthorized access or use of your Personal Information.

We reserve the right to request further information from you about your use of the Platform at any time. Failure to provide such information within the time required by us may result in our declining or terminating your access to the Platform.

We reserve the right to decline your application to access the Platform or to revoke the same at any stage at our sole discretion and without assigning any reason or giving any notice thereof, or in accordance with notice periods permitted by law.

We offer the Services electronically via the website and mobile app. You acknowledge and accept that you will not be allowed or entitled to receive or demand the services on the Platform at the office of Tika unless otherwise advised by us at our discretion.

After the user registration process, you will be deemed to hold a User Profile.

Payments and Refund Handling

Seamless Payment Facilitation

Tika provides a secure and efficient payment interface to enable Participants to make payments for events listed on the Platform.

Refunds Excluded from Platform Services

While payments are processed through the Platform, refunds are expressly excluded from Tika's scope of services. Tika does not process, initiate, approve, guarantee, or enforce refunds on behalf of Event Organisers.

Independent Refund Arrangements

Event Organisers shall independently determine, communicate, and administer their refund policies and processes, including timelines and payment methods, outside the Tika Platform.

Event Failure or Disruption

Tika shall not be liable for any loss, damage, inconvenience, disappointment, or expense suffered by Participants as a result of an event being cancelled, postponed, interrupted, materially altered, underdelivered, or failing to take place for any reason, including but not limited to force majeure, operational failure, regulatory restrictions, or acts or omissions of the Event Organiser.

Where an Event Organiser is required to issue refunds, Tika shall, upon reasonable request, provide access to relevant registration or ticketing data available on the Platform solely for the purpose of enabling the Event Organiser to process refunds.

Such data support shall not be construed as participation in, responsibility for, or control over the refund process.

Event Organisers shall indemnify and hold harmless Tika, its directors, officers, employees, and affiliates from and against any claims, demands, losses, liabilities, damages, or costs (including legal fees) arising from:

• failure to issue refunds;
• disputes with Participants relating to refunds; or
• any claim alleging that Tika is responsible for refund obligations.

Nothing in these Terms shall be construed as creating a trust, escrow, fiduciary, or agency relationship between Tika and any Participant or Event Organiser in respect of ticket proceeds or event payments.

Prohibited Uses

You agree that you shall not do the following:

• Use the Platform in any manner that could damage or overburden Tika's server, or any network connected to Tika's server, or interfere with any other party's use of the Platform; or
• Use the Platform for any illegal, unlawful, or malicious activity, or for activities that will be deemed improper under any law in force in Nigeria, which includes but is not limited to money laundering, financing of terrorism, fraud, racketeering, amongst others; or
• Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity, or use or provide any fraudulent, misleading, or inaccurate information; or
• Use the Platform to post or transmit material for which you have not obtained all necessary licences and/or approvals prior to such post or transmission; or
• Use the Platform in any manner that constitutes or encourages conduct that would be considered a criminal offence, gives rise to civil liability, or otherwise is contrary to the law in any country in the world; or
• Access or use (or attempt to access or use) another user's profile without permission or solicit another user's login information.

You agree that your access to the Platform may also be suspended, or your account may be cancelled at our discretion, if we suspect that you are using the Platform in any manner described above. We may take civil or criminal actions against you if we have reason to believe that you have used or attempted to use the Platform in any manner prohibited above, and we will not be liable for any loss or damage that may arise from your misuse of our service.

Communication

You consent to us sending all notifications, notices, records, statements, communications, updates, and any other information regarding the Platform provided to you electronically ("Correspondence and Communication"). Where applicable, you will be responsible for any charges, costs, or expenses incurred for sending any Correspondence and Communication to you.

Transmission of Personal Information

Your use of the Platform may involve the transmission of your Personal Information to third-party service provider(s). In view of your right to provide consent for the transmission of your personal information, you consent to the transmission of such information through the Platform and represent that such consent shall be effective each time you use the Platform. You hereby agree that we reserve the right to request further information from you pertaining to your access or use of the Platform.

The transmission, use and/or analysis of your personal data or information shall be processed by us in accordance with the Nigeria Data Protection Laws and any other data protection regulation in force.

Usage monitoring

We reserve the right to access, archive, or monitor your use of the Platform in accordance with the applicable laws of the Federal Republic of Nigeria. By using the Platform, you accept our right to access, archive, or monitor usage to ensure service quality, or to evaluate the Platform, the security of the Platform, compliance with the Terms of Use, or for any other reason. You agree that our monitoring activities will not entitle you to any cause of action or other right with respect to the way we monitor the usage of the Platform and enforce, or fail to enforce, the Terms of Use. You further agree that in no event will Tika be liable for any damages incurred by you because of our usage monitoring.

Copyright, Trademark, and other Intellectual Property Rights

Ownership of the Platform

All intellectual property rights in and to the Platform, including but not limited to the website, mobile applications, software, source code, object code, databases, architecture, workflows, user interface designs, text, graphics, logos, trademarks, service marks, trade names, audiovisual content, and all related documentation (collectively, the "Platform IP"), are owned exclusively by Tika or its licensors and are protected by applicable intellectual property laws in Nigeria and internationally.

No Transfer of Rights

Except as expressly stated in these Terms of Use, nothing herein shall be construed as granting you any right, title, or interest in or to the Platform IP. All rights not expressly granted are reserved by Tika.

Limited License to Use the Platform

Subject to your compliance with these Terms of Use, Tika grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes.

User-Generated Content

You acknowledge that any content uploaded, submitted, posted, or otherwise made available by you on or through the Platform, including event descriptions, images, videos, branding materials, pricing information, and promotional content ("User Content"), remains your property or that of your licensors.

Licence Granted to Tika

By uploading or submitting User Content to the Platform, you grant Tika a worldwide, royalty-free, non-exclusive, sublicensable, and transferable licence to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, and otherwise use such User Content solely for the purposes of:

• operating, promoting, and improving the Platform and Services;
• marketing and promoting events hosted on the Platform; and
• complying with legal or regulatory obligations.

You represent and warrant that:

• You own or have all necessary rights, licences, and permissions to submit the User Content;
• The User Content does not infringe any copyright, trademark, privacy, publicity, or other proprietary rights of any third party; and
• The User Content complies with all applicable laws and regulations.

Infringement and Takedown

Tika reserves the right, without prior notice, to remove, disable access to, or refuse to display any User Content that it reasonably believes infringes intellectual property rights, violates these Terms of Use, or exposes Tika to legal risk.

Feedback and Suggestions

Any feedback, suggestions, ideas, or recommendations you provide regarding the Platform or Services shall be deemed non-confidential, and Tika shall be free to use, disclose, reproduce, license, and otherwise exploit such feedback without restriction or compensation to you.

Analytics and Platform Data

Tika shall own all aggregated, anonymised, or derived data generated through the operation and use of the Platform, including usage metrics, performance analytics, and system insights, provided such data does not identify individual users.

Prohibited Use of IP

You shall not:

• copy, modify, reverse engineer, decompile, or attempt to extract the source code of the Platform;
• use Tika's trademarks or branding without prior written consent;
• use the Platform or its content for any competing or commercial purpose outside the scope of these Terms.

Survival

The provisions of this Intellectual Property clause shall survive the suspension, termination, or expiration of these Terms of Use.

Accordingly, you may not copy, distribute or modify the Platform, including any text, graphics, user interface design or logos obtained from the Platform, except as explicitly authorised by us in writing.

In addition, you must not use any part of the content on the Platform for commercial purposes without obtaining a licence to do so from us. Where authorisation or licence is granted, our status as the authors of content on the Platform must always be acknowledged.

Notification of Infringement

If you believe that any content on the Platform infringes your intellectual property rights, you may submit a written notice to Tika containing:

• Identification of the copyrighted or proprietary work claimed to be infringed;
• Identification of the infringing content and its location on the Platform;
• Your contact details;
• A statement that you have a good faith belief that the use is unauthorised; and
• A declaration that the information provided is accurate.

Takedown and Review

Upon receipt of a valid notice, Tika shall investigate the complaint and may remove or disable access to the allegedly infringing content without prior notice.

No Admission of Liability

Any removal or restriction of content pursuant to this clause shall not constitute an admission of liability by Tika.

Connectivity

You agree that you are responsible for the means you use to access the Platform and understand that your hardware, software, the Internet, your telecommunications service provider, and other third parties involved in connecting you to the Platform may not perform as intended or desired. We will not be liable for any loss caused by a virus, malware or other technologically harmful material that may infect your hardware, computer programs or other proprietary material due to your use of the Platform or to you downloading any content on it.

Indemnification

You agree that the Platform is not a secure method of transmitting information, and that the risk of any loss of information or interception of information by any third party will be borne by you and that Tika shall not be liable for the same. Tika shall not be liable for any damages or injuries arising out of or in connection with the use of the Platform or its non-use including non-availability or failure of performance, loss or corruption of data, loss of or damage to property (including profit and goodwill), work stoppage, or interruption of business, error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure or for any failure to act upon instructions.

The user shall indemnify, defend, and hold harmless Tika, its directors, officers, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Any breach of this clause;
• Any claim that the Event Content infringes the rights of a third party; or
• The use or publication of the Event Content on the Platform.

You will at all times indemnify Tika, along with their directors, partners, officers, employees, successors and assigns from and against all actions, proceedings, claims and demands whatsoever for or on account of or in relation to any use of the Platform and from and against all damages, costs, charges and expenses in respect thereof.

Availability of the Platform and Services

We are constantly improving the Services we provide on the Platform and reserve the right to modify or change any of our Services, temporarily or permanently, with or without prior notice to you.

Force Majeure

Ninthgrid shall not be liable for any failure or delay in performance of its obligations under these Terms of Use where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, power failures, internet outages, or governmental actions.

Termination and Withdrawal

You acknowledge and agree that we may restrict, suspend, or terminate the Terms of Use or your access to, and use of, all or any part of the Platform, at any time, with or without cause, including but not limited to any breach of the Terms of Use, without prior notice to you.

Any suspension, termination, or cancellation of the Platform shall not affect your obligations to us under these Terms of Use (including but not limited to ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension, termination, or cancellation.

You have the right to withdraw from the Platform at any time.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Nothing limits mandatory consumer protections under applicable EU law.

The courts of Lagos State, Nigeria, shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms of Use or your use of the Platform.

Representation and Warranties

Each user represents and warrants that:

• It owns or has obtained all rights, licences, consents, and permissions necessary to submit the Event Content;
• The Event Content does not infringe any copyright, trademark, moral right, privacy right, publicity right, or other proprietary right of any third party;
• The Event Content is lawful, accurate, and not misleading.

You hereby represent and warrant that:

• You have read and understood the Terms of Use;
• You are at least 18 (eighteen) years of age;
• Your Personal Information and any other information given to us is true, accurate, authentic, current and complete;
• You grant to us the right to use your Personal Information in accordance with the Terms of Use;
• You agree to comply with and be bound by the Terms of Use governing your use of the Platform, and you affirm that the Terms of Use are without prejudice to any other right that we may have with respect to your use of the Platform under the laws of the Federal Republic of Nigeria or otherwise;
• You shall not assign or transfer your rights under the Terms of Use to anyone else, without our approval in writing;
• Your acceptance and use of the Platform does not violate any applicable law in Nigeria or any contract or obligation to which you are a party or are otherwise bound; and
• That if you are accepting the Terms of Use on behalf of a company, organisation, or other legal entity, that you have their consent or authorisation to do so.

Feedback and Suggestions

Any feedback, suggestions, ideas, or recommendations provided by users regarding the Platform or Services shall be deemed non-confidential. Tika shall have an unrestricted, perpetual, irrevocable, and royalty-free right to use, implement, modify, and exploit such feedback for any purpose without compensation or attribution.

Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis. Ninthgrid makes no representations or warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Ninthgrid does not warrant that the Platform will be error-free, secure, or free from viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, Ninthgrid shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your access to or use of, or inability to use, the Platform or Services, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.

In no event shall Ninthgrid's total liability to you for all claims arising from or relating to these Terms of Use or the Platform exceed the amount (if any) paid by you to Ninthgrid in the twelve (12) months preceding the event giving rise to the claim.

Analytics, Data & Insights

Tika shall retain ownership of all aggregated, anonymised, or derived data generated from the use of the Platform, including usage statistics, performance metrics, and operational insights, provided such data does not identify individual users. Tika may use such data to improve services, develop new features, and for business intelligence purposes.

Event Recordings and Promotional Use

Where Event Content includes photographs or recordings of events, the Event Organiser confirms that it has obtained all necessary consents from performers, speakers, and participants for such content to be used for promotional and marketing purposes on the Platform.

Acknowledgement and Acceptance

By accessing, registering on, or using the Platform in any manner, whether as an Event Organiser or a Participant, you acknowledge and confirm that you have read, understood, and unconditionally accepted these Terms and Conditions in their entirety. You agree to be legally bound by all provisions contained herein, including but not limited to limitations of liability, indemnities, data processing, intellectual property rights, and dispute allocation.

Without prejudice to the generality of the foregoing, you expressly acknowledge and agree that Tika does not assume responsibility for refunds under any circumstances, and that all refund-related rights, obligations, and liabilities arise solely between the Event Organiser and the Participant, without recourse to Tika.

Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms of Use, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ninthgrid regarding your use of the Platform and supersede all prior agreements, understandings, or communications.
